To whom it may concern,

The German National Tourist Office intends to outsource the services described under point 1.3.

1. Details of outsourced service

1.1. About the Client The German National Tourist Board (GNTB) has its headquarters in Frankfurt am Main, Germany. It works on behalf of the Federal Ministry for Economic Affairs and Energy (BMWi) to represent Germany as a tourist destination and is funded by the Ministry in accordance with a decision taken by the German Bundestag. The GNTB develops and communicates strategies and products to promote Germany#39;s positive image abroad as a tourist destination and to encourage tourists to visit the country. It has 32 agencies around the world to support its activities. More information can be found online at www.germany.travel.

1.2. Background to this outsourcing The German National Tourist Office Beijing is looking for a proposal to promote magic cities of Germany (including Hamburg, Bremen, Cologne, Dusseldorf, Frankfurt, Nuremberg, Stuttgart, Munich, Dresden and Leipzig) on an OTC (Online Travel Community) Platform in China. Main focus should be increasing image and awareness to inspire the potential clients to these 10 cities. This can include theme landing page, banner exposure and social media content marketing like travel guide.

2. Notes on contract-award procedure

2.1. Type of award

Negotiated award with a competitive tender in accordance to UVgO In the case of a negotiated award with a competitive tender, the contracting authority publicly invites an unlimited number of undertakings to submit their requests to participate in the competitive tender. Any interested undertaking may submit a request to participate. By submitting a request for participation, the undertakings submit the information required by the client for the purpose of checking their eligibility. The request to participate must simply provide the information required by the contracting authority for the purposes of assessing their suitability. Only those undertakings invited by the contracting authority, after having examined the information supplied, may submit an initial tender. The contracting authority may apply a limit to the number of qualified candidates invited to submit a tender, provided there are sufficient qualified candidates in accordance to sect; 36 UVgO. The contracting authority shall negotiate with the tenderers the initial and all subsequent tenders submitted by them, except for the final tenders, in order to improve the content thereof. The entire content of the tenders may be negotiated, except for the minimum requirements and the award criteria stipulated by the contracting authority in the procurement documents. In the present procedure, the contracting authority reserves the right to award the contract on the basis of the initial offers.

2.4. Examination of candidates#39; suitability

Candidates#39; suitability is investigated according to the criteria not only of financial economic capabilities but also specialist technical capabilities, with particular reference to the documents, declarations and certifications mentioned in clause 3.2.2.

3. Conditions of application

3.1. Form and content of Expression of Interest Applications

3.1.1 External presentation The Expression of Interest must be sent electronically to the address found in 3.8 by deadline stated in 3.8.

3.1.3 Signature All documents together with forms (where envisaged) -- and any explanatory notes -- must be signed, and the signatory#39;s name must be stated.

3.2. Documents to be attached The documents listed in clause

3.2.1, below, must be attached to the Expression of Interest Application.

3.2.1.

 Completed, dated and signed Expression of Interest application

 Self-Declarations, dated and signed;

 Schedule of annexes to Expression of Interest Application, completed, dated and signed;

 Details of Candidate Form 1, completed, dated and signed;

 Bidders#39; Association Declaration (where applicable) Form 2, completed, dated and signed ;

 Appointment of subcontractors for services to be outsourced (where applicable) Form 3, completed, dated and signed;

 Completed, dated and signed Form 4 References for the services of the candidate/subcontractor in the last three years;

 Completed, dated and signed Form 5 References for the responsible project manager(s) and their services in the last three years ;

3.2.2. Documents for assessment of suitability

The following documents must be submitted together with the Expression of Interest Application, for purposes of assessment of the Candidates suitability:

 Details of Candidates corresponding to Form 1 Details of Candidate together with all information requested therein (indicated separately for each member of Bidders Association, where applicable);

 Candidates References corresponding to Form 4 References for the services of the candidate/subcontractor in the last three years

 References for employees of Candidate /Subcontractor corresponding to Form 5 References for the responsible project manager(s) and their services in the last three years (where applicable: indicated separately for each member of Bidders Association).

The contracting authority may, in compliance with the principles of transparency and equal treatment, ask the candidate or tenderer to complete, send on or correct incomplete, missing or incorrect business-related documents, particularly self-declarations, statements, certificates or other forms of proof, or to complete or send on any incomplete or missing documents related to the performance.

3.3. Bidders Associations

Industrial associations and other associated bidders are subject to joint several liability for the fulfilment of the services offered, and all of the members of the Bidders association must be mentioned in the Expression of Interest Applications; furthermore, one of their members must be designated as the authorised representative for the contract-award procedure, for the negotiation and for the execution of the contract.

3.4. Passing-out of services to subcontractors

The Candidate must indicate the nature and extent of the services which it intends to transfer to subcontractors, and must indicate their names. The Candidate must prove that the necessary resources from these subcontractors are available. In the securing of offers from subcontractors, the Candidate is under obligation to involve smaller and medium-sized companies (to a reasonable extent) and to issue subcontracted orders to smaller and medium-sized companies to the extent consistent with contractually-compliant execution of the service, and to abide by the criteria of fair competition in its transfer of part-services and, furthermore, not to place the subcontractor subject to less favourable conditions with particular reference to the mode of payment and the deposit payments than those negotiated under the contract awarded to the Candidate itself. Only in well-justified exceptional cases will the Client#39;s approval for the passing-out of services to subcontractors be withheld.

3.5. Reimbursement of expenditures

The process of preparation of Expression of Interest Applications is not reimbursed. No costs of duplication for the dispatch of these contract-award documents are reimbursed.

3.6. Declaration Obligation

After Candidates#39; Expression of Interest applications have been opened, they may be requested to provide clarification and additional information in order to clear up any equivocal aspects concerning the Expression of Interest applications or concerning the Candidates themselves.

3.7.Anti-corruption Directive

In line with the Federal Governmental Directive on the prevention of corruption as issued in the Federal Government on 30 July 2004, the Candidate declares its willingness to bind over its employees who will be collaborating in the provision of the services to fulfil the mandatory regulations governing the expert fulfilment of their obligations arising from the order.

3.8.Issuance of Expression of Interest Applications
